Sports Test Equip UDAQ | END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between Sports Test Equip (“Licensor”)
and you, the end user (“Licensee”), governing the use of the Sports Test Equip Bluetooth devices
(“Devices”) and the accompanying mobile application (“App”). By using the Devices and App, you agree
to the terms of this EULA. If you do not agree to these terms, you must immediately discontinue use of
the Devices and App.

1. License Grant

a. Grant of License: The Licensor grants the Licensee a non-exclusive, non-transferable,
revocable license to use the App for a period of 12 months, renewable annually per the terms
herein.

b. Device Restriction: The App is exclusively designed for use with Devices purchased from
Sports Test Equip and should only be used for its intended purpose of testing sports surfaces.

c. Prohibited Activities: Any unauthorised reverse engineering, modification, decompilation,
tampering, or misuse of the App or Devices is strictly prohibited and will result in immediate
termination of this license.

2. License Period and Renewal

a. The license is valid for 12 months from the date of activation.

b. Licenses will be invoiced 30 days prior to expiry for renewal. Failure to renew before expiration will result in immediate termination of App access on expiration date.

3. Login Credentials

a. Users will be provided a unique email and password for App access.

b. Passwords can be changed via the App’s password reset feature. Users are fully responsible
for maintaining the confidentiality of their credentials.

4. Ownership and Intellectual Property

a. Ownership: Sports Labs Ltd retains exclusive ownership of all intellectual property (IP) related to the App, including but not limited to design, calculations, algorithms, and methodologies.

b. Data Processing & Storage: Data generated through the App and Devices is securely stored on Firebase cloud services in compliance with GDPR guidelines. While users retain access
to their generated data, all underlying processes, calculations, and data structures remain
the exclusive property of Sports Test Equip.

c. Upon license ending, User Information and Data will not be downloaded and supported.
Users should ensure they have local storage prior to ending the agreement.

d. Data Privacy Commitment: Sports Test Equip will not sell, share, or misuse user-generated
data, except as required by law or expressly permitted under this agreement.

5. Prohibited Actions

a. Users must NOT:

i. Reverse-engineer, decompile, modify, or attempt to extract source code from the App
or Devices.

ii. Open, disassemble, or tamper with the Devices without prior written authorisation
from Sports Test Equip

iii. Use the Devices or App for any purpose other than their intended function.

6. Device Usage and Calibration

a. Calibration: Sensors within the Devices (e.g., accelerometer, torque transducer) must be regularly calibrated to maintain accuracy and performance.

b. Proper Handling: Devices must be used in accordance with manufacturer guidelines and
User Manual. Any damage caused by improper use, tampering, or unauthorised repairs will
void the warranty.

7. Warranty

a. Warranty terms for each Device will be communicated at the time of purchase.

b. The warranty does not cover damages arising from misuse, unauthorised modifications, or
repairs.

8. Internet & Compatibility Requirements

a. Internet Requirement: The App requires an active internet connection for full functionality,
including license validation and updates.

b. Device Compatibility: The App requires a device running Android 13 or iOS 17 (or higher) with
Bluetooth and GPS functionality. Compatibility with older devices is not guaranteed and is
the responsibility of the user to maintain.

9. Updates

a. The App may update automatically if this feature is enabled on the user’s device. Updates
may alter functionality, and changes will be communicated in the update description on the
relevant app store.
b. Device Support: Older operating systems may not support future updates, and the
responsibility to maintain a compatible device lies solely with the user.

10.Data Protection

a. All user data, including license details, is stored securely in compliance with GDPR
guidelines. Sports Test Equip will not share or misuse personal data.
b. User Responsibility: Users must ensure the accuracy and security of their own data within
the App.

11. Limitation of Liability

a. Sports Test Equip is not responsible for liability issues arising from testing conducted using
the Devices or the App.
b. The Licensor is not liable for any indirect, incidental, special, or consequential damages
resulting from the use or inability to use the Devices or App, including but not limited to:
i. Data loss
ii. Business interruptions
iii. Device malfunctions

12. Termination

a. The Licensor may terminate this license immediately if the user:
i. Breaches any provision of this EULA.
ii. Tampers with, reverse-engineers, or modifies the App or Devices.
iii. Fails to renew the license within the specified timeframe.
b. Upon termination, the user must immediately discontinue use of the App.

13.Severability

a. If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions
shall remain in full force and effect.

14. Governing Law & Dispute Resolution

a. This EULA is governed by the laws of the United Kingdom.
b. Any disputes arising from this agreement will be resolved through the Court of Arbitration in
the United Kingdom.
